gigabyte cics motherboard -- how good is it-- other questions

i ended up with two of the gigabyte mobos that cics recommends the g31m-sl2-s2c. i could either sell the second one, or use it as a replacement for the mobo in my general purpose pc which has the following specs for its asus mobo (it's an hp pc, that was about $500 at best buy 3 years ago)
Processor. i'd need a new cpu since the amd won;t work in the gigabyte-- any thoughts on sell or use it as an upgrade????
